With the Electoral Con-gress of the Guyana Football Federation (GFF) mere days away it has been disclosed that the GFF has been officially incorporated as a company.
The Companies Act ‘Certificate of Incorpora-tion’ seen by Stabroek Sports states that the federation, which will now be known as the GFF incorporated, became a company during the month of March 2015 and that the then members of the Normalization Committee are the company’s directors.
They are the current Committee members Clinton Urling, Karen Pilgrim, Tariq Williams and Rabindranauth Chandarpal as well as then member Stuart May. The document also revealed that the company’s secretary is Diedre Davis.
According to the document, engaging in the formation of the company was
Attorney-at-Law Normalization Committee Urling during an invited comment said: “The GFF had no legal standing (it status under the Friendly Society was discontinued under a previous GFF administration) and at our Constitutional Reform meetings with Primo Corvaro and Marco Leal it was recommended that the GFF become a legal entity.
“Incorporation was preferred since there was no government control when compared to Friendly Society. For the GFF “Board of Directors” refer to the GFF Constitution which forms the complete by laws of the company,” Urling explained.
However, according to sources close to the federation question why the decision was not made public since it was done since March.
“The constitution is the highest instrument and the highest organ is the Congress. Were there discussions with the Congress before this decision was taken,” asked a prominent football official.
“Who are the shareholders of the company and is there some minimum qualification for your corporate secretary?
“Similarly, what is the Article of Association? Is it the constitution which they adopted long after? The GFF adopted their constitution in June.
“What mechanism was used to transfer the assets from the trustees which was unincorporated institution to that now of a corporate institution and when did the GFF stop being an entity registered under the Friendly Society Act and what mechanism was used to ensure that?” the official queried.
